# Software License Terms

Last updated October 17, 2026 · Garmo Labs, LLC

The standard terms for SpinForge software, plans and evaluations. A signed agreement or your order can add to or replace them.

## Scope and order of precedence

SpinForge, a Garmo Labs company, is provided by Garmo Labs, LLC, a California limited liability company (“SpinForge”, “Garmo Labs”, “we”, “us” or “our”). These Software License Terms (“License Terms”) apply to SpinForge software that we license to you under an order, quote, plan activation, evaluation approval or statement of work (an “Order”).

If you have signed a separate license or master agreement with us, that agreement controls. Otherwise, if documents conflict, this order of precedence applies: the Order, then these License Terms, then the Documentation. By installing, accessing or using the Software, or by signing or accepting an Order, you agree to these License Terms. If you accept on behalf of an organization, you confirm that you have authority to bind it.

## Definitions

- Software: the SpinForge products named in your Order, in object-code form, including command-line, MCP and headless interfaces, libraries, models and tools, and any updates we provide.
- Documentation: the user guides, release notes and specifications we provide for the Software.
- Licensed Scope: the products, workflows, purposes, term and capacity in your Order, including numbers of named users, deployments, environments, machines, GPUs, vCPUs, sites and regions.
- Authorized Users: your employees and individual contractors whom you allow to use the Software for you, within the Licensed Scope.
- Customer Data: models, inputs, files and other data that you or your Authorized Users process with the Software.
- Output: results, certificates, reports and other output the Software produces from Customer Data.

## License grant

Subject to these License Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable license, for the term in your Order, to install and use the Software and Documentation within the Licensed Scope. If you are an organization, the license is for your internal business purposes. If you are an individual, it is for your own use.

### Plan-specific terms

- Explore (evaluation). For evaluation only, for 14 days from activation unless your Order states otherwise, in one supported evaluation environment. No production use. An evaluation ends automatically and does not become a paid subscription.
- Developer. For development and commercial research and development by one named developer on one supported machine with up to one GPU. No production rights.
- Production, Team and Scale. For the workflows, deployments, environments, users and GPU capacity stated in your Order.
- Annual application, module and suite licenses, OEM and managed deployments. As stated in your Order. Hosting the Software for third parties, embedding it in a product you distribute, or operating it as a service requires an Order that expressly allows it.

## Restrictions

Except as expressly allowed by your Order or by law that cannot be excluded by contract, you must not:

- use the Software beyond the Licensed Scope, or share accounts, keys or credentials;
- copy the Software, except for reasonable backup and installation within the Licensed Scope;
- modify, translate or create derivative works of the Software, or reverse engineer, decompile or disassemble it, except to the extent the law expressly permits despite this restriction;
- circumvent license keys, usage limits, entitlement checks or other technical protections;
- sell, rent, lease, lend, sublicense, distribute or otherwise make the Software available to third parties, or use it to provide a hosted, time-sharing or service-bureau service;
- remove or alter proprietary notices, labels or marks;
- use the Software or Documentation to build a competing product, or to copy its features or design; or
- use the Software in violation of law or of Export controls and sanctions.

## Ownership

The Software and Documentation are licensed, not sold. Garmo Labs, LLC and its licensors own all rights, title and interest in them, including all intellectual-property rights. All rights not expressly granted are reserved.

## Third-party and open-source components

The Software may include third-party and open-source components that are licensed under their own terms, which we identify in the Documentation or in notice files that accompany the Software. Those terms govern those components. Nothing in these License Terms limits your rights under them.

## Customer Data and Output

As between you and us, you own your Customer Data and the Output. Where you run the Software in your own environment, we receive Customer Data only if you choose to send it to us, for example for support. Any Customer Data you send us is used only to provide the support or services you request, kept confidential and handled as described in our [Privacy Policy](https://spin-forge.com/privacy) and your Order.

You are responsible for your Customer Data, for having the rights to process it, and for the decisions you make using Output. A check, certificate or verification that the Software reports confirms only the specific properties described in the Documentation for that check, such as feasibility or a bound measured against the original input. It does not guarantee that a model represents your real-world problem or that Output is fit for your purpose. Please validate Output before relying on it.

## Support and updates

We provide the support, updates and service levels stated in your Order or plan. Updates we provide are part of the Software. We may change or discontinue features in new releases, but we will not materially reduce the core functionality of a licensed product during a paid term without notice.

## Fees and payment

You agree to pay the fees in your Order. Unless the Order states otherwise, invoices are due within 30 days, in U.S. dollars. Fees exclude taxes, which you pay except for taxes on our income. If a business customer’s undisputed payment is overdue, we may charge interest at the lesser of 1.5% per month or the maximum rate the law allows, and may suspend access after written notice. Renewal, cancellation and refunds follow the [Terms of Use](https://spin-forge.com/terms#fees) unless your Order states otherwise.

## Term and termination

These License Terms apply for as long as you have an active Order. Either party may end an Order if the other materially breaches these License Terms and does not cure the breach within 30 days after written notice. We may suspend or end a license immediately if you breach Restrictions or Export controls and sanctions. When a license ends, you must stop using the Software and delete it, and if we ask, confirm that you have done so in writing. Sections that by their nature should survive will survive, including ownership, confidentiality, disclaimers, limitation of liability and governing law.

## Confidentiality

Each party will protect the other’s non-public information that is marked or reasonably understood as confidential, using at least reasonable care. It will use that information only to perform under these License Terms and disclose it only to people who need it and are bound by similar obligations. This does not cover information that is public, already known, independently developed or lawfully received from others. The Software, Documentation and non-public pricing are our confidential information. Disclosure that the law requires is allowed after giving notice where permitted.

## Warranties and disclaimers

Any warranty for the Software is stated in your Order. EXCEPT FOR WARRANTIES EXPRESSLY STATED IN AN ORDER, THE SOFTWARE, DOCUMENTATION, OUTPUT AND ANY EVALUATION ARE PROVIDED “AS IS”. TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT IT WILL FIND AN OPTIMAL OR FEASIBLE SOLUTION FOR EVERY INPUT, OR THAT IT WILL ACHIEVE ANY PARTICULAR PERFORMANCE, SPEED OR COST RESULT.

## High-risk use

The Software is not designed or licensed for use where its failure or an incorrect result could lead to death, personal injury or severe physical or environmental damage, such as operating nuclear facilities, aircraft navigation or control, life-support systems, or weapons systems. You may not use it for those purposes unless we have agreed in a signed writing.

## Limitation of liability

TO THE EXTENT THE LAW ALLOWS: (A) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL; AND (B) EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE LICENSE TERMS AND ALL ORDERS WILL NOT EXCEED THE FEES PAID AND PAYABLE TO US UNDER THE ORDER GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO IT. FOR A FREE EVALUATION, OUR TOTAL LIABILITY IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US$100).

These limits do not apply to your payment obligations, to your breach of Restrictions or infringement of our intellectual property, to either party’s breach of confidentiality, or to liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence, or any other liability that cannot be limited by law. If you are a consumer, mandatory consumer rights are not affected.

## Intellectual-property indemnity

If your Order includes an intellectual-property indemnity, the terms stated in the Order apply. Otherwise, none is provided.

## Usage verification

On reasonable written notice, and no more than once in any 12-month period, you will certify in writing that your use of the Software complies with the Licensed Scope and give us reasonable records that support the certification. If your use exceeds the Licensed Scope, you will pay for the excess at our then-current rates.

## Export controls and sanctions

The Software and related technology may be subject to U.S. export-control and sanctions laws, including the Export Administration Regulations and regulations administered by the Office of Foreign Assets Control, and to the laws of other countries. You agree to comply with them. You must not export, re-export, transfer or use the Software in or for a sanctioned or embargoed country or region, for a person on a U.S. government restricted-party list, or for a prohibited end use, including weapons of mass destruction or a restricted military end use. You confirm that you and your Authorized Users are not restricted parties.

## U.S. government users

The Software and Documentation are “commercial computer software” and “commercial computer software documentation”. Under FAR 12.212 and DFARS 227.7202, U.S. government users acquire only the rights stated in these License Terms.
