Terms of Use
The rules for using this website, and how orders, pricing and disputes work.
Agreement to these terms
SpinForge, a Garmo Labs company, is provided by Garmo Labs, LLC, a California limited liability company (“SpinForge”, “Garmo Labs”, “we”, “us” or “our”). These Terms of Use (“Terms”) govern your use of spin-forge.com and its content (the “website”). By using the website, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the website.
If you use the website on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization. You must be at least 18 years old to use the website.
Licensed software and services are governed by an order and the Software License Terms or a signed agreement, as described in Orders, licenses and services.
Using the website
We grant you a limited, revocable, non-exclusive, non-transferable permission to view and use the website for your own information and to evaluate our products. You may download and print pages and overviews for that purpose. You must not:
- copy, modify, distribute, sell or republish website content except as these Terms allow;
- scrape, crawl or harvest the website by automated means beyond what our robots.txt allows, or use it to train machine-learning models without our written permission;
- probe, scan or test the vulnerability of the website, or bypass any security or access control, except under Reporting security issues;
- interfere with or overload the website, or send spam or malicious code through its forms;
- misrepresent your identity or affiliation, or use the website for any unlawful purpose.
Information on the website
Website content describes our products, plans, services and results for general information. It is not an offer capable of acceptance, a warranty, or professional, engineering, financial or legal advice.
- Results and benchmarks describe the specific tests, inputs, hardware and conditions stated with them. They are not a promise that you will get the same results in your environment.
- Illustrative workflows and scenarios are examples, not customer case studies.
- Prices are in U.S. dollars, exclude taxes and may be marked indicative. They may change at any time until they are confirmed in an order.
- Availability: product descriptions, features, interfaces and supported environments may change. A listing does not guarantee that a product is available for a particular use or location.
We work to keep the website accurate, but it may contain errors, which we may correct at any time.
Orders, licenses and services
No license or service is created by browsing the website, downloading an overview or sending an enquiry. A license or service starts only when you and we agree an order, quote, statement of work or other written agreement (an “Order”).
Each Order is governed by the Software License Terms unless you and we have signed a separate agreement. If they conflict, this order of precedence applies: a signed agreement, then the Order, then the Software License Terms, then these Terms.
Fees, renewal and cancellation
- Fees and taxes. You agree to pay the fees in your Order. Fees exclude taxes, which you pay except for taxes on our income.
- Free evaluations end at the end of the stated period. They do not become paid subscriptions unless you agree to an Order.
- Automatic renewal. A subscription renews automatically only if your Order says so. If it does, the Order will state the renewal term, the price and how to cancel before you agree to it, and we will send any reminders the law requires.
- Cancellation. You can cancel renewal at any time by emailing patrick@garmolabs.com. Cancellation takes effect at the end of the current paid period, and you keep access until then.
- Refunds. Fees for a period that has started are not refundable unless your Order says otherwise or the law requires a refund.
Intellectual property and trademarks
The website and its content, including text, graphics, artwork, software and the arrangement of the site, belong to Garmo Labs, LLC or its licensors and are protected by intellectual-property laws. All rights not expressly granted are reserved.
SpinForge, Garmo Labs, the SpinForge and Garmo Labs logos and our product names are trademarks of Garmo Labs, LLC. Other names and marks on the website, including those of hardware makers, software projects, benchmark libraries and research groups, belong to their owners. We use them only to identify those products or works. Their use does not imply that the owner endorses, sponsors or is affiliated with us.
Feedback and enquiries
If you send us suggestions or feedback, we may use them without any obligation to you. Unless we have signed a confidentiality agreement with you, information you send in an enquiry is not treated as confidential. Please do not send confidential models, customer records or trade secrets in an initial enquiry.
Third-party links and services
The website may link to sites and services we do not control. We are not responsible for their content, terms or practices.
Copyright complaints
We respect intellectual-property rights. If you believe content on the website infringes your copyright, send a notice to patrick@garmolabs.com that includes: your physical or electronic signature; the work you say is infringed; the material and where it appears on the website; your contact details; a statement that you believe in good faith that the use is not authorized by the owner, its agent or the law; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner (17 U.S.C. § 512(c)(3)). We will review notices promptly and remove or disable access to infringing material where appropriate.
Reporting security issues
If you find a security vulnerability in the website or our products, please report it to patrick@garmolabs.com (details are also in security.txt). Please give us reasonable time to fix it before you disclose it. Do not access, change or delete data that is not yours, degrade the service, or use social engineering.
Export controls and sanctions
Our software and technology may be subject to U.S. export-control and sanctions laws, including the Export Administration Regulations and regulations administered by the Office of Foreign Assets Control. You agree to comply with them. You may not use, export or re-export our products or technology to a sanctioned or embargoed country or region, to a person on a U.S. government restricted-party list, or for a use those laws prohibit, such as developing weapons of mass destruction. You confirm that you are not such a person.
Disclaimers
THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE. Warranties for licensed software, if any, are stated only in the applicable Order or agreement. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.
Limitation of liability
TO THE EXTENT THE LAW ALLOWS, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE WEBSITE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE WEBSITE IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US$100). Liability for licensed software and services is governed by the applicable Order or agreement.
Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited by law, and nothing affects rights you have as a consumer that cannot be waived.
Indemnity
If you use the website on behalf of an organization, that organization will defend and indemnify us against third-party claims, and the resulting losses and reasonable costs, that arise from its breach of these Terms or its misuse of the website.
Suspension and termination
We may suspend or end your access to the website if you breach these Terms or if we need to protect the website, our users or our business. The sections that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnity and governing law, will survive.
Governing law and disputes
These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you and we consent to their jurisdiction. Either party may bring an individual claim in small-claims court where it qualifies.
If you are a consumer living outside the United States, you keep the protection of the mandatory laws of your country of residence and may also bring proceedings in its courts.
Before filing a claim, please contact us so that we can try to resolve the issue informally.
